TERMS & CONDITIONS OF SALE

DEFINITIONS:
CUSTOMER: The company or person named in the above form. Hereafter named CUSTOMER
MANUFACTURER: Suppliers of Dalesman International LTD, hereafter called Manufacturer.
1. SUPPLY OF GOODS
No order shall be binding onto Dalesman International LTD until the Customer’s order is accepted by Dalesman International LTD by
the earliest of:
I. The written acceptance of the order by Dalesman International LTD
II. The delivery of the Goods
III. The invoice of Dalesman International LTD
Once an order has been accepted by Dalesman International LTD, this may not be cancelled or varied by the customer without written
agreement from Dalesman International LTD.
2. RETENTION OF TITLE
Ownership of goods supplied by Dalesman International Ltd will not pass to the customer until the invoice, including VAT has been paid for in full. Dalesman
International Ltd reserves the right to access all premises occupied by the customer and uplift all goods supplied by Dalesman International Ltd for which the
customer has not paid for in full.
3. DELIVERY
Every effort is made to dispatch goods within any quoted period(s) but we do not accept responsibility for any loss arising from lateness or non-delivery,
whether caused by force majeure or events within our control.
4. DELIVERY COSTS
Orders over £400 Net, excluding the exceptions below, will be dispatched carriage paid to most UK mainland destinations.
Orders below this value will be charged at current rates, which you will be informed of prior to dispatch. Please contact the sales office
on 01772 453918 or sales@dalesman.uk.com for current rates.
All orders that include fuel or aerosols must achieve a Net value of £450 to be carriage paid.
Consignments to Northern Ireland, Northern Scotland, the Channel Islands and other destinations by prior arrangement.
5. LOSS OR DAMAGE IN TRANSIT& DELIVERY SHORTAGES
Missing or damaged consignments must be notified to Dalesman International LTD at the time of delivery and legible signatures (qualified as necessary) must be
given.
Any shortages, incorrect or damaged products must be notified to Dalesman International LTD within 7 days of receipt via email or
telephone. (quoting delivery note number, date and number of items short in the consignment)
6. EU SHIPMENTS
Due to changes in border controls and duty rules after the UK left the EU there is a surcharge on all orders shipped from our
warehouses to EU countries of 10% of the order value. This will be added to the invoice subtotal. All orders are delivered Duty Paid.

Orders over £500 net will be dispatched carriage paid.
Orders under £500 net, carriage will be charged at £40.
7.RETURNS
Any goods returned for reasons other than a claim for faulty manufacture defect or without the written agreement of Dalesman
International LTD, are subject to a minimum 15% handling charge
8. PRICES
All trade prices on our printed lists and websites are exclusive of Value Added Tax and are subject to alteration without notice. Orders are accepted only on the
condition that we may charge trade price(s) ruling on the day of dispatch of the goods without confirmation from our customers, unless specified to the contrary
on the order.
9. TERMS OF PAYMENT
All invoices are strictly net and are due within 30 days of the invoice date. Interest will be charged at 3% over Virgin Money base rate on all invoices
outstanding for more than 90 days from date of invoice.
In the event of legal action being taken to recover unpaid monies all fees will be charged for payment together with the unpaid account.
10. GENERAL
Due to technical limitations, colours in our brochures and online are as near as the medium will allow.
The Manufacturer reserves the right to alter styles and specifications without prior notice.
To the best of our knowledge and belief, the information published in our brochures and websites is correct at the time of publication. .
All registered trademarks are recognised.
11. LIMITATION ON SALE
For all products, irrespective of their form of distribution. It is accepted under UK law that in order to protect a brand it is sufficient to
justify 3rd party Internet platform restrictions, such as, but not exhaustive, Amazon Marketplace, eBay, Miralk Marketplaces, OnBuy.
These restrictions are through the application of criteria, for a selective distribution system. It is on these grounds that Dalesman
International LTD stipulates that the Customer or any subsidiaries should not attempt to list or sell any products on any 3rd Party
consumer websites, without first seeking prior approval from Dalesman International LTD. We manage the number of resellers we
appoint each year to help improve the customer experience.

Failure to follow this process will result in a notification to remove a product without permission being sent and a 14-day notice period to
comply. After this Dalesman International LTD reserves the right to close your account.
12. TERMINATION:
Should either party Seller or Dalesman International LTD wish to terminate this agreement to these terms and conditions, this must be
done in writing with at least 14 Days' notice. After which the account with Dalesman International will be closed.
